Kerala High Court directs quick decision on law governing SNDP

Kerala High Court orders swift determination of governing Companies Act for SNDP

The Kerala High Court has directed that the question of which Companies Act applies to the Sree Narayana Dharma Paripalana (SNDP) Yogam must be decided within three months. A Division Bench comprising Justice Devan Ramachandran and Justice M.B. Snehalatha set aside a single-judge order of 24 January 2022 and ordered a fresh, hearing-led determination.

Companies Act applicability to SNDP

The dispute centres on whether the central Companies Act or the Kerala Non-Trading Companies Act should govern SNDP, a major socio-religious organisation in the state. The Division Bench referred to a 2 February 2009 decision of the Delhi High Court in which the central authority was directed to hear all parties and decide within a fixed period. The Kerala court has applied that procedure and instructed that the same timetable be followed now.

In practical terms, the Division Bench has asked the concerned authority to invite representations from all interested parties, listen to submissions and reach a decision within three months. The earlier single-judge direction, which had affirmed that the Kerala Non-Trading Companies Act applied and which clarified that all members have voting rights, was stayed by the Division Bench pending the fresh determination.

The litigation reached the Division Bench after SNDP and other parties filed appeals against the single-judge order. The contested single-judge ruling had also addressed governance arrangements and voting rights within the association, finding problems with certain committee arrangements. The Division Bench has therefore urged a comprehensive inquiry into the legal basis for SNDP’s corporate structure and governance.

The central government informed the court that it had not yet taken a final decision on whether the central Companies Act or the state non-trading companies legislation is applicable to SNDP. Given that position, the Division Bench directed the authority to follow the Delhi High Court approach and complete the decision-making exercise within the prescribed three-month period.

Legal observers say the court’s order aims to remove uncertainty that has affected SNDP’s internal governance and external regulatory position. The outcome will determine which statutory regime governs matters such as director appointments, member voting rights and compliance obligations. A clear ruling will also settle whether SNDP should be regulated by central company law or by the state-level framework designed for non-trading companies.

The Division Bench’s instruction to expedite the process reflects the judiciary’s interest in resolving protracted statutory questions that affect large membership organisations. Parties will now prepare submissions addressing corporate form, the organisation’s activities, and the statutory tests that distinguish trading companies from non-trading companies under state and central law.

The court has left the final decision to the authorised central body but has emphasised the need for an open, time-bound hearing process. Interested stakeholders will be watching closely, as the ruling will carry implications for governance and regulatory oversight of similar member-based organisations across the state.
