Rosspirtprom has received approval from the Federal Antimonopoly Service (FAS) to acquire 100% of the shares in Tatspirtprom, marking one of the largest transactions in Russia’s alcohol sector this year. The deal, signed on 30 December 2025, was concluded with seller Sviazinvestneftekhim, the holding company that represents the Republic of Tatarstan’s interests.
Rosspirtprom Tatspirtprom acquisition and operational outlook
According to a press release from Tatspirtprom, the sale was executed at market price based on an independent valuation. The companies said the planned operating model will preserve two separate legal entities, each focusing on its core competencies. Corporate headquarters for both Rosspirtprom and Tatspirtprom will be located in Kazan.
The acquisition brings together a wide production footprint. Tatspirtprom comprises two spirit plants, two liqueur and vodka factories, and the Vigrosso winery in Kazan. Rosspirtprom owns a full-cycle production complex that includes eight spirit plants with combined capacity of 22.5 million decalitre of alcohol per year, together with two service companies.
Transaction value has not been disclosed. Tatspirtprom’s statement emphasised that the deal was prepared over the course of a year and completed following a legally binding sale agreement. FAS declined to comment on the specifics of its approval.
Observers note that keeping both companies as distinct legal entities should limit disruption to existing supply chains and brand portfolios while enabling closer coordination of production and distribution under single ownership. Management offices concentrated in Kazan may improve logistical efficiencies and support closer ties with regional authorities.
Rosspirtprom was established in 2009. In 2023 the government included the company in the federal privatisation plan for 2023-2025, and in 2024 it was sold at auction to Business-Alliance LLC as part of that process. Tatspirtprom was sold by Sviazinvestneftekhim, which is the vehicle through which Tatarstan holds its stake.
Industry analysts describe the move as part of a wider trend of consolidation within the Russian alcohol market, where state-backed and private players have sought scale to manage costs and comply with evolving regulatory requirements. The independent valuation cited by the press release is intended to demonstrate that the transaction was carried out on commercial terms.
The decision to retain two legal entities suggests a pragmatic approach to integration. It may allow Rosspirtprom to tap into Tatspirtprom’s established brands and regional production assets while preserving existing contracts and workforce arrangements. For regional stakeholders in Tatarstan, the relocation of headquarters to Kazan may reinforce the city’s role as a production and management centre for the sector.
With the FAS approval in place, the companies will move to implement their integration plan in the coming months. Market participants will be watching for further detail on governance, investment plans for modernisation, and any changes to product strategy. For now, the transaction stands as a notable consolidation that could influence supply dynamics in Russia’s alcohol industry.
